By creating an account, accessing, or using Conducktor (“the Service”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any additional agreements referenced herein. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to any part of these Terms, you must immediately cease all use of the Service.
Conducktor is a platform where users define companies, hire AI specialists (“assistants”), connect tools and data sources, launch operations, and manage AI-powered workflows. The Service acts as both an MCP (Model Context Protocol) client and server, facilitating connections between AI models and external systems.
The Service is a technology platform only. Conducktor does not provide legal, financial, medical, accounting, tax, or any other professional advice. Any outputs generated by AI assistants, specialists, or automated workflows are machine-generated and must not be relied upon as professional advice. You are solely responsible for evaluating, verifying, and acting upon any AI-generated output.
• Account Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials, including passwords, API keys, and OAuth tokens. You are fully liable for all activities that occur under your account, whether or not authorized by you.
• Credential Storage: OAuth tokens and API keys you provide are encrypted and stored securely. By connecting external services, you authorize Conducktor to use these credentials to make API calls on your behalf. You represent and warrant that you have the right to provide such credentials and that their use does not violate any agreement with the third-party service provider.
• Account Suspension & Termination: We reserve the right, in our sole discretion, to suspend or terminate any account that violates these Terms, engages in abusive or fraudulent behavior, poses a security risk, or for any other reason we deem necessary to protect the Service, its users, or third parties.
You may NOT use Conducktor to:
• Violate any applicable local, state, national, or international law or regulation (including but not limited to GDPR, CCPA, DMCA, CFAA, and export control laws)
• Access, collect, or use data belonging to others without proper authorization
• Launch attacks, scan networks, probe for vulnerabilities, or engage in any form of unauthorized testing
• Circumvent rate limits, security controls, governance policies, or abuse the Service in any manner
• Resell, sublicense, or white-label the Service without a separate written Enterprise partnership agreement
• Use AI assistants or outputs in a manner that is deceptive, harmful, discriminatory, or that could cause harm to any person or entity
• Use the Service to generate, store, or transmit content that is illegal, defamatory, obscene, or violates any third-party intellectual property rights
No Guarantee of Accuracy: AI assistants, specialists, and automated workflows generate outputs using machine learning models. These outputs may be inaccurate, incomplete, misleading, or unsuitable for your intended purpose. Conducktor makes no representation or warranty whatsoever regarding the accuracy, reliability, completeness, timeliness, or usefulness of any AI-generated output.
No Professional Advice: AI-generated outputs do not constitute legal, financial, medical, tax, accounting, engineering, or any other form of professional advice. You must independently verify all outputs and consult qualified professionals before making decisions based on AI-generated content.
Autonomous Actions: When AI assistants execute tool calls, create content, send communications, modify data, or take other actions on your behalf, you are solely responsible for all consequences of those actions. You acknowledge that AI assistants may take actions that produce unintended, unexpected, or undesirable results. Conducktor shall not be liable for any damages, losses, or consequences arising from actions taken by AI assistants.
Third-Party Interactions: When AI assistants interact with third-party services (e.g., creating issues in Linear, sending emails via Outlook, modifying files in GitHub), you are solely responsible for ensuring those interactions comply with the third-party's terms of service and applicable law. Conducktor is not a party to your relationships with third-party services and assumes no liability for actions taken through those integrations.
• Free Tier: Limited usage as specified on our pricing page. No credit card required. Free-tier access may be modified, limited, or discontinued at any time without notice.
• Paid Tiers: Billed monthly or annually via our payment processor. Usage-based billing may apply for API calls, connections, storage, and AI consumption. Overage charges apply if you exceed plan limits.
• Refunds: All fees are non-refundable to the fullest extent permitted by law. No refunds for partial billing periods, unused capacity, or early termination.
• Price Changes: We may adjust pricing with 30 days' written notice. Continued use after the effective date of a price change constitutes acceptance.
• Uptime Target: We target 99.9% uptime for Enterprise plans; all other plans are provided on a best-effort basis. Uptime targets are goals, not guarantees, and do not create any enforceable right or obligation.
• Maintenance: We may perform scheduled or emergency maintenance at any time, which may result in temporary service interruptions.
• Third-Party Dependencies: The Service depends on third-party infrastructure, AI model providers, and external APIs that are outside our control. We are not responsible for any downtime, errors, latency, or degradation caused by third-party services, including but not limited to cloud providers, LLM providers, OAuth providers, or any connected MCP servers.
• Your Data: You retain all ownership rights in your connection configurations, policies, workflows, and telemetry data. By using the Service, you grant Conducktor a limited, non-exclusive, worldwide license to process your data solely as necessary to provide and improve the Service.
• Our Platform: All right, title, and interest in the Service, including all software, algorithms, interfaces, documentation, trade secrets, trademarks, and intellectual property, remain the exclusive property of Conducktor. No license is granted to reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code from the Service.
• Feedback: Any suggestions, ideas, enhancement requests, or feedback you voluntarily provide become the property of Conducktor. We may use such feedback for any purpose without compensation, attribution, or obligation to you.
THE SERVICE, INCLUDING ALL CONTENT, AI-GENERATED OUTPUTS, FEATURES, FUNCTIONALITY, AND ALL INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES PROVIDED THROUGH THE SERVICE, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CONDUCKTOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY AI-GENERATED CONTENT, OUTPUTS, RECOMMENDATIONS, OR ACTIONS;
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES, BUGS, OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE PERFORMANCE, AVAILABILITY, OR RELIABILITY OF ANY THIRD-PARTY SERVICES, APIS, MCP SERVERS, AI MODEL PROVIDERS, OR INTEGRATIONS;
• WARRANTIES THAT AI ASSISTANTS, SPECIALISTS, OR AUTOMATED WORKFLOWS WILL PERFORM AS EXPECTED, PRODUCE ACCURATE RESULTS, OR NOT CAUSE HARM;
• WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM CONDUCKTOR OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONDUCKTOR, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, ASSIGNS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY OF THE FOLLOWING, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CONDUCKTOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES:
(A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
(B) ANY LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, GOODWILL, OR DATA;
(C) ANY DAMAGES ARISING FROM ACTIONS TAKEN BY AI ASSISTANTS, SPECIALISTS, OR AUTOMATED WORKFLOWS, INCLUDING BUT NOT LIMITED TO ERRONEOUS OUTPUTS, DATA MODIFICATION, UNAUTHORIZED COMMUNICATIONS, OR UNINTENDED INTERACTIONS WITH THIRD-PARTY SYSTEMS;
(D) ANY DAMAGES ARISING FROM THIRD-PARTY SERVICE OUTAGES, DATA BREACHES, API FAILURES, OR CHANGES TO THIRD-PARTY TERMS;
(E) ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO, OR ALTERATION OF, YOUR TRANSMISSIONS OR DATA;
(F) ANY DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT OR OUTPUTS;
(G) ANY OTHER DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.
TO THE EXTENT ANY LIABILITY CANNOT BE FULLY EXCLUDED, CONDUCKTOR'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE LESSER OF: (I) THE AMOUNTS ACTUALLY PAID BY YOU TO CONDUCKTOR IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED UNITED STATES DOLLARS (US$100.00). FOR FREE-TIER USERS, CONDUCKTOR'S MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED TEN UNITED STATES DOLLARS (US$10.00).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF CONDUCKTOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold harmless Conducktor, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
• Your use of, or inability to use, the Service;
• Any violation of these Terms by you or anyone using your account;
• Any allegation that your data, content, or use of the Service infringes or violates the intellectual property, privacy, or other rights of any third party;
• Actions taken by AI assistants operating on your behalf, including interactions with third-party services;
• Any violation of applicable law or regulation arising from your use of the Service;
• Your negligence or willful misconduct.
Conducktor reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not settle any claim without our prior written consent.
Either party may terminate this agreement at any time. You may terminate by deleting your account. Conducktor may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including but not limited to breach of these Terms.
Upon termination: (a) your right to use the Service ceases immediately; (b) all data, including vault secrets and connection credentials, will be permanently deleted within 30 days (unless retention is required by applicable law); (c) no refunds will be issued for any unused portion of your subscription or prepaid fees; (d) Sections 5, 8, 9, 10, 11, 13, 14, 15, 16, and 17 shall survive termination.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
• Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Conducktor shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, United States, and the arbitrator's award shall be final and enforceable in any court of competent jurisdiction.
• Class Action Waiver: YOU AND CONDUCKTOR AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate proceedings or preside over any form of representative or class proceeding.
• Jury Trial Waiver: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND CONDUCKTOR EACH WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTES THAT ARE NOT SUBJECT TO ARBITRATION UNDER THIS SECTION.
Conducktor shall not be liable for any failure or delay in performing its obligations under these Terms to the extent caused by events beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions, sanctions, embargoes, strikes, labor disputes, fire, flood, earthquake, power outages, internet or telecommunications failures, cyberattacks, distributed denial of service attacks, third-party service outages, changes in third-party APIs or terms of service, AI model provider disruptions, or any other circumstances beyond our reasonable control.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. To the extent any dispute is not subject to arbitration under Section 13, the exclusive venue for such dispute shall be the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
From time to time, we may offer beta, experimental, or preview features (“Beta Features”). Beta Features are provided “as is” without any warranty whatsoever. We may discontinue, modify, or limit Beta Features at any time without notice. You use Beta Features at your own risk, and Conducktor shall have no liability of any kind arising from your use of Beta Features.
• Entire Agreement: These Terms, together with the Privacy Policy and any order forms or enterprise agreements, constitute the entire agreement between you and Conducktor and supersede all prior agreements, understandings, representations, and warranties.
• Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
• Waiver: The failure of Conducktor to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. Conducktor may assign these Terms freely, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
• Headings: Section headings are for convenience only and have no legal or contractual effect.
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service. Enterprise customers with custom agreements may have separately negotiated change notification requirements.
